MINGO LISTENER TERMS & CONDITIONS

These Listener Terms & Conditions ("Terms") govern your participation as a Listener on the Mingo Platform ("Platform"), owned and operated by Sigler Digital Solution Private Limited ("Company", "Mingo", "we", "our", or "us"), through the website talkmingo.com and related mobile applications.

By registering, applying, or participating as a Listener on the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. ELIGIBILITY

To become a Listener, you must:

Be at least 18 years of age.
Possess valid government-issued identification.
Successfully complete KYC verification as required by the Company.
Maintain valid bank account and/or UPI details for payouts.
Comply with all applicable laws and Platform policies.

The Company reserves the absolute right to approve, reject, suspend, or terminate any Listener application at its sole discretion without assigning any reason.

2. SERVICES

Listeners may engage with users through:

Text Chat
Audio Calls
Video Calls

All interactions must occur exclusively through the Platform.

Listeners shall not attempt to move users to external communication channels including but not limited to WhatsApp, Telegram, Instagram, Facebook, Snapchat, email, phone calls, or competing platforms.

3. INDEPENDENT CONTRACTOR STATUS

The Listener acts solely as an independent service provider.

Nothing contained herein shall be construed as creating:

Employment
Partnership
Joint Venture
Agency
Franchise
Fiduciary Relationship

between the Listener and Sigler Digital Solution Private Limited.

Listeners shall not be entitled to any employee benefits including salary, provident fund, gratuity, insurance, leave, bonus, reimbursement, or severance compensation.

4. EARNINGS AND PAYOUTS

The Company may provide earnings based on user engagement, calls, chats, promotions, incentives, bonuses, and other monetized activities.

The Company reserves the unrestricted right to modify:

Coin values
Diamond values
Earnings structure
Commission structure
Incentive programs
Payout thresholds

at any time without prior notice.

Displayed earnings are indicative only and subject to verification.

The Company's records, calculations, and determination of earnings shall be final and binding.

The Company may delay, freeze, reverse, withhold, or cancel payouts where suspicious, fraudulent, abusive, illegal, or policy-violating activity is suspected.

5. PROHIBITED ACTIVITIES

Listeners shall not:

Share personal contact information.
Exchange social media accounts.
Solicit external payments.
Promote competing services.
Create multiple accounts.
Engage in self-calling.
Participate in fake engagement.
Manipulate earnings.
Use bots or automation.
Harass users.
Threaten users.
Discriminate against users.
Share inappropriate, illegal, or harmful content.

Any violation may result in immediate suspension, termination, forfeiture of earnings, and legal action.

6. MONITORING

The Company may monitor, review, audit, record, investigate, analyze, and retain chats, audio calls, video calls, profile information, and activities for:

Compliance
Moderation
Safety
Fraud prevention
Legal requirements
Quality assurance

The Listener expressly consents to such monitoring.

7. CONFIDENTIALITY

The Listener shall maintain strict confidentiality regarding:

User information
Platform operations
Earnings structures
Internal business processes
Technical systems
Proprietary information

These obligations shall survive termination.

8. INTELLECTUAL PROPERTY

The Listener grants the Company a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, distribute, promote, and publish the Listener's profile information, images, videos, voice samples, and related content for Platform operations and marketing purposes.

9. SUSPENSION AND TERMINATION

The Company may suspend, restrict, remove, or terminate any Listener account at any time and for any reason including:

Violation of these Terms
Fraud
Abuse
Legal requirements
Safety concerns
Business decisions

No compensation shall be payable for suspension or termination.

10. INDEMNITY

The Listener shall fully indemnify, defend, and hold harmless Sigler Digital Solution Private Limited, its shareholders, directors, investors, officers, employees, consultants, affiliates, successors, assigns, agents, and representatives from and against any claims, losses, liabilities, damages, penalties, judgments, costs, expenses, investigations, and legal fees arising out of:

Breach of these Terms
Violation of law
User complaints
Fraudulent activity
Intellectual property infringement
Privacy violations
Misconduct
Negligence
Content shared by the Listener

This indemnity shall survive termination.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Sigler Digital Solution Private Limited, its shareholders, directors, investors, officers, employees, consultants, affiliates, successors, assigns, and representatives shall not be liable for:

Loss of earnings
Loss of business
Loss of opportunity
Loss of reputation
Indirect damages
Consequential damages
Punitive damages
Special damages

The Company's maximum aggregate liability shall not exceed the total verified payouts actually paid to the Listener during the preceding three (3) months.

12. EXCLUSION OF PERSONAL LIABILITY

No claim, action, proceeding, or demand shall be brought personally against any shareholder, director, investor, officer, employee, consultant, affiliate, or representative of Sigler Digital Solution Private Limited.

The Listener expressly waives any right to pursue personal liability against such individuals.

13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal, India.

The Listener irrevocably submits to such jurisdiction and waives any objection regarding venue or forum.
